01Acceptance of Terms
By accessing or using Pulszo, you agree to these Terms of Service. If you are using the Services on behalf of a company or other organization, you represent that you have the authority to bind that organization to these terms. These are business-to-business terms and are not consumer terms.
02Description of Service
Pulszo provides an AI-powered network operations platform, including real-time link monitoring, SLA intelligence, vendor analytics, incident management, and AI-assisted diagnostics. Features may evolve over time, and we will provide notice of material changes.
03Account Registration & Security
- You must provide accurate information at registration and keep it current.
- You are responsible for safeguarding your account credentials.
- Notify us immediately of any unauthorized access to your account.
- One account per organization, unless otherwise agreed.
04Acceptable Use
You agree not to:
- Use Pulszo to monitor networks you do not own or are not authorized to monitor.
- Attempt to reverse-engineer or extract the underlying AI models.
- Use the platform for any illegal purpose.
- Resell or sublicense the Services without a written agreement.
- Attempt unauthorized access to other customers’ data or to platform infrastructure.
05Customer Responsibilities
You are responsible for:
- Maintaining accurate account information.
- Ensuring your authorized users comply with these terms.
- Maintaining the security of your credentials.
- Ensuring you have the rights to any data you upload.
- Complying with the laws applicable in your jurisdiction.
06Subscription & Billing
- Fees are charged according to your agreed pricing plan.
- Invoices are issued monthly or annually, as agreed.
- Payment is due within 30 days of the invoice date.
- Non-payment may result in service suspension after notice.
- Fees for partial months are non-refundable, unless otherwise agreed in writing.
07Customer Data
Customer data—including network telemetry, operational configurations, and any data uploaded to the platform—remains the property of the Customer at all times. Pulszo is granted a limited license to process this data solely to deliver the contracted services. This license terminates upon contract termination. Pulszo will return or delete customer data within 30 days of a written request following termination.
08Intellectual Property
- The Pulszo platform, AI models, and technology are owned by Pulszo Technologies.
- Customer data is owned by the Customer (see Section 7).
- Customer feedback and suggestions may be used by Pulszo to improve the platform, on a non-confidential basis.
- A Customer’s name or logo may be used as a reference customer only with prior written consent.
09Confidentiality
Both parties agree to keep confidential any non-public information shared in the course of the business relationship. Standard exceptions apply for information that is publicly known, independently developed, or required to be disclosed by law. This obligation survives termination for three years.
10Service Availability
- Pulszo targets 99.5% uptime for the platform.
- Scheduled maintenance is performed with advance notice.
- For unplanned downtime, we will communicate promptly and work to restore service.
- Uptime measurements exclude customer network issues, third-party dependencies, and force majeure events.
11Warranties & Disclaimers
Pulszo warrants that:
- The platform will perform materially as described in its documentation.
- We will implement reasonable security measures.
- We will handle customer data in accordance with our Privacy Policy.
Pulszo does not warrant that:
- The service will be error-free or uninterrupted.
- AI-generated insights will be 100% accurate.
- The Services will meet any specific regulatory compliance requirement.
12Limitation of Liability
To the maximum extent permitted by law:
- Neither party is liable for indirect, incidental, or consequential damages.
- Pulszo’s total liability is limited to the fees paid in the 12 months preceding the claim.
- These limitations apply even if a party has been advised of the possibility of such damages.
13Indemnification
The Customer will indemnify Pulszo against claims arising from the Customer’s misuse of the platform, violation of these terms, or violation of applicable law.
Pulszo will indemnify the Customer against claims that the platform infringes a third party’s intellectual property rights.
14Term & Termination
- The agreement continues until terminated.
- Either party may terminate with 30 days’ notice.
- Pulszo may suspend or terminate immediately for material breach, non-payment (after notice), or illegal use.
- Upon termination, customer data is returned or deleted in accordance with Section 7.
15Governing Law & Disputes
These terms are governed by the laws of India. Disputes will first be addressed through good-faith negotiation for 30 days, and if unresolved, through binding arbitration in Gurugram, India, under applicable arbitration rules. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.
16General
- These terms constitute the entire agreement and supersede prior discussions.
- Amendments must be in writing and signed by both parties.
- If any provision is found invalid, the remaining provisions stay in effect.
- A failure to enforce a provision is not a waiver of future enforcement.
- The Customer may not assign the agreement without consent; Pulszo may assign it in connection with a merger or acquisition.
17Changes to Terms
We may make material changes to these terms with 30 days’ notice. Continued use after the effective date constitutes acceptance. For significant changes, we will seek your renewed acceptance.
